This privacy policy (the "Policy") explains how 9368 5899 Québec inc., operating under the names "Kiid Babysitting Services," "Kiid Concierge," or "Kiid for Business," a company located at 1 Place Ville Marie, Suite 3900, Montreal (Quebec) H3B 4M7, Canada (the "Company," "Kiid," "we," "our"), collects, uses, discloses, and otherwise processes your Personal Information when:

1. You visit and use the website www.kiid.ca (the "Site") and the Kiid mobile application (collectively, the "Platform");

2. You use Kiid’s concierge services to receive referrals or connections for babysitting, tutoring, and/or home care services (collectively, the "Services");

3. You communicate and interact with us or our employees, including when you inquire about our Services, create an account, or subscribe to our newsletter;

4. You apply for a job on our Site.

For the purposes of this Policy, "Personal Information" refers to any information that relates to an individual and allows them to be identified, directly or indirectly ("Personal Information").

1. Collection Of Personal Information

Kiid collects Personal Information for the purposes outlined in this Policy. We gather your Personal Information directly from you.

a)    Personal Information Collected Directly from You

Kiid collects the following Personal Information directly from you:

·         Account Information: When you create a "member" account via the Platform, we collect your first name, last name, email address, and phone number. At the time of booking, we may also collect your address and maintain a history of your reservations.

·         Child Information: When you submit a booking request, we may collect the child’s age, first name, last name, routine, lifestyle habits, allergies, and special needs to appropriately address the request (e.g., assigning someone experienced with a specific age group). For tutoring services, we may also collect the child’s grade level and the subject in which tutoring is needed.

·         Application Information: When you apply through the Site, we collect your first name, last name, email address, phone number, employer name, certifications, and any information included in your application documents.

·         Health Information: When submitting a babysitting request, we collect health information about the child essential to ensuring their safety and well-being. This includes details about allergies, required medication, and any other relevant information needed to tailor our Services to the child’s specific needs.

2. USE OF PERSONAL INFORMATION

Kiid may use your Personal Information to:

·   Provide you with registration, usage, purchase, and transaction services through transactional pages.

·   Process your transactions and enhance your experience with the Services and Platform.

·   Administer and make the Platform and Services available to you

·   Generate statistics, collect information, measure Platform activity, and detect and prevent security threats.

·   Communicate with you, including with our members, about our Services, events, promotions, special offers, and other             news related to Kiid.

·   Conduct surveys and perform background checks related to applications for babysitters, tutors, and potential candidates.

 ·  Contact references provided in babysitter applications.

·   Publish your feedback about your experience with Kiid’s services and your evaluation of a babysitter or tutor, associating        this feedback with you personally.

·   Assist in developing and marketing our brand, Services, promotions, and advertising.

·   Communicate with you regarding technical notices, updates, security alerts, and support.

·   Respond to your requests, complaints, feedback, and questions.

3. DISCLOSURE OF PERSONAL INFORMATION

We may disclose the Personal Information we collect or that you provide in accordance with this Policy. Your Personal Information will only be shared when necessary to fulfill the purposes outlined in this Policy, such as ensuring the quality of Services, Platform security, and compliance with legal obligations.

We may disclose your Personal Information to the following categories:

• Kiid Employees: Personal Information may be disclosed to Kiid employees who require it to perform their duties related to the Services, account management, and Platform maintenance.

• Care and Tutoring Service Providers: Account information may be disclosed to third parties, including tutors and care providers (such as "Succès Scolaire inc." and "Équinoxe, solutions soins de vie inc."). For tutoring services, we may also share the child’s age, grade level, and the subject requiring tutoring.

• Babysitting Service Providers: Personal Information, including account information, child information, and health information, may be disclosed to babysitters in the context of providing babysitting services.

• Other Service Providers: We may share Personal Information with other service providers to deliver applicable services. For instance, we may share certain Personal Information from application documents to perform background and criminal record checks.

• Technology Service Providers: To ensure data hosting, Platform management, and the security of your Personal Information, we use specialized providers that may require access to Personal Information.

• Professional Services: We may disclose certain Personal Information to external advisors (financial, legal, and others) when necessary for the provision of their professional services.

• Commercial Transactions: In compliance with applicable laws, we may share Personal Information with third parties as part of the sale or transfer of the Company or for audit purposes.

• Legal Compliance: We may disclose your Personal Information if required by applicable laws or regulations, or in the context of an investigation or legal proceedings, such as in response to a court order or public authority request. KIID RESERVES THE RIGHT TO TRANSMIT ANY INFORMATION (INCLUDING PERSONAL INFORMATION) IT DEEMS RELEVANT TO COMPETENT AUTHORITIES AUTOMATICALLY AND WITHOUT NOTICE TO PREVENT OR HALT ANY CRIMINAL OR ILLEGAL ACTIVITY, PARTICULARLY WHEN THE HEALTH AND/OR WELL-BEING OF PLATFORM USERS, BABYSITTERS, TUTORS, CARE PROVIDERS, OR CHILDREN IS AT RISK.

In some cases, we aggregate Personal Information for disclosure to partner employers. Aggregated information does not allow, directly or indirectly, the identification of an individual. If aggregated information could identify an individual, we will obtain prior consent when necessary.

In all cases where sensitive Personal Information must be disclosed, we will obtain your explicit prior consent.

4. RETENTION OF PERSONAL INFORMATION

We retain Personal Information for as long as necessary to fulfill the purposes for which it was collected or to comply with our legal and regulatory obligations. Information is destroyed when it is no longer required or after 18 months of account inactivity. When destroying documents and data, we implement strict procedures and ensure that only authorized personnel have access to them.

Personal Information is stored at our offices or on servers located in Toronto. This means that your Personal Information is transferred outside of Quebec. Consequently, your Personal Information may be subject to privacy laws that offer less protection than those in effect in Quebec.

5. SECURITY OF PERSONAL INFORMATION
